These Terms of Service ("Terms") govern your access to and use of mindspan's website, waitlist, and — when available — our blood panel and personalized report. Please read them carefully. They include important limits on our liability and an agreement to resolve disputes by arbitration.
The short version. mindspan is a wellness service, not medical care. Your report is for education and self-understanding — it is not a diagnosis and not a substitute for your doctor. You must be 18 or older. You pay once; there is no subscription. In an emergency, call 911.
By accessing or using our services, you agree to be bound by these Terms and by our Privacy Policy, which is incorporated here by reference. If you do not agree, please do not use our services.
1. mindspan does not provide medical care
mindspan is a consumer wellness service designed to help you understand the biology behind your mood and how your brain is aging. mindspan does not provide medical advice, diagnosis, or treatment, and is not a substitute for professional medical care. Our website, panel, report, and any related content are for general informational and educational purposes only.
Using mindspan does not create a physician–patient relationship between you and mindspan. Where a licensed physician is involved in reviewing panel design or authorizing lab orders, that physician acts through an independent professional network and does not thereby become your treating provider. Always seek the advice of your own qualified healthcare professional with any questions about a medical condition, and never disregard or delay seeking it because of something in your mindspan report.
mindspan is not health insurance and is not a substitute for it. Amounts you pay us are not insurance premiums.
2. Please use caution with your results
- Learning is not reversible. Once you read your results, you cannot un-know them. Consider whether, when, and how you want to review them given your own history and circumstances.
- The blood draw carries ordinary risks. A venipuncture may cause bruising, lightheadedness, fainting, infection, or excessive bleeding. Speak with the laboratory's personnel about any concerns, and with a physician if you are at elevated risk or have a fear of needles or blood.
- Results can be incomplete or imperfect. No test is perfectly accurate. We do not warrant the accuracy, completeness, timeliness, or precision of any result, and biological markers can vary between draws and laboratories.
- Share with discretion. Your results are personal. Use care in deciding what to share, how, and with whom — we advise against posting results publicly or on social media.
3. Your report is generated with the help of AI
Your personalized report is produced using automated systems, including artificial intelligence, and is reviewed against thresholds set by our clinical advisor. AI can make mistakes and may produce information that is incomplete or incorrect. The report is a tool to help you understand your biology — it is a supplement to, not a substitute for, your own judgment and consultation with a qualified healthcare provider. You are responsible for how you use it.
4. Eligibility
Our services are available only to individuals who are 18 years of age or older and located in a U.S. state where we operate. You may not use our services if you are barred from doing so under applicable law, or if you are acting on behalf of another person without their authorization. You agree to provide accurate, current, and complete information and to keep it up to date.
5. Your account and license
You may create a single account for yourself. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. We grant you a limited, revocable, non-exclusive, non-transferable license to use our services for your own personal, non-commercial use. You may not copy, resell, reverse-engineer, scrape, or make commercial use of any part of our services.
6. Laboratory and physician partners
Blood samples are collected and analyzed by independent, CLIA-certified laboratories, and lab orders are authorized through an independent physician network. mindspan is not a laboratory and is not a medical provider. We do not control, and are not responsible or liable for, the acts, omissions, availability, quality, or results of any third-party laboratory, physician, or other provider. To the fullest extent permitted by law, you release mindspan from any claim arising out of a third party's services, including sample collection, analysis, communication of results, or any advice or care they provide.
Our services are not for emergencies. If you believe you have a medical emergency, call your doctor, go to the nearest emergency room, or dial 911 immediately.
7. Payment, and no subscription
mindspan is a one-time purchase. There is no membership, no subscription, and no automatic renewal. When you buy, you authorize us and our payment processor to charge your payment method the full amount shown at checkout, including any applicable taxes. You are responsible for any sales or similar taxes.
Refunds. You may request a full refund at any time before laboratory services have been performed for you (that is, before your blood draw). Once your sample has been collected, the purchase is non-refundable, because the laboratory work has begun. If, on review, a physician declines to order a test, you may request a refund of that test's cost. Refunds are returned to your original payment method and may take up to 30 days to process.
8. Assumption of risk
To the fullest extent permitted by law, you assume all risk and responsibility for determining whether our services are appropriate and safe for you, and for your own acts and omissions in connection with scheduling and receiving a blood draw, reviewing your results, and deciding whether and how to act on them — including whether to seek medical care. You represent that you are healthy enough to use our services, and if you have a condition that could be affected, that a licensed professional has approved your use.
9. Disclaimer of warranties
Our services, the panel, and the report are provided "as is" and "as available," without warranties of any kind, whether express or implied, including any implied warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement. We do not warrant that our services will be uninterrupted, error-free, or that any result or report will be accurate or complete.
10. Limitation of liability
To the fullest extent permitted by law, mindspan and its owners, officers, employees, and affiliates (the "mindspan Parties") will not be liable for any indirect, incidental, consequential, special, or reliance damages, including lost profits, loss of data, or emotional distress, arising out of or relating to your use of our services. The mindspan Parties' total aggregate liability for any claim relating to our services or these Terms will not exceed the greater of (a) the amount you paid us for the services giving rise to the claim in the six months before the claim, or (b) US $100.
These limits do not apply to liability that cannot be limited under applicable law, including liability for a mindspan Party's intentional misconduct or for bodily injury or death directly and proximately caused by a mindspan Party.
11. Indemnification
You agree to indemnify and hold harmless the mindspan Parties from any claims, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or relating to your use of our services, your violation of these Terms, or your violation of any law or the rights of any third party.
12. Dispute resolution and arbitration
Please read this section carefully — it affects your legal rights. You and mindspan agree that any dispute arising out of or relating to these Terms or our services will be resolved by binding, individual arbitration, rather than in court, except that either party may bring an individual claim in small-claims court. You and mindspan waive the right to a jury trial and the right to participate in a class action or class-wide arbitration.
You may opt out of this arbitration agreement by emailing us within 30 days of first accepting these Terms; opting out will not affect any other part of these Terms. These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules.
13. Intellectual property
The mindspan name, logo, website, panel design, report format, and all related content are owned by mindspan or its licensors and are protected by intellectual-property laws. These Terms do not grant you any right to use them without our prior written consent.
14. Electronic communications
By using our services, you consent to receive communications from us electronically — by email, and, where you have expressly opted in, by text message. Standard message and data rates may apply, and you can opt out of marketing messages at any time (reply STOP to texts, or use the unsubscribe link in emails). Email and text are not fully secure methods of communication.
15. Changes, suspension, and termination
We may modify these Terms from time to time. When we do, we will update the effective date above and, for material changes, make reasonable efforts to notify you. Your continued use after changes take effect means you accept the revised Terms. We may modify, suspend, or discontinue any part of our services, and may suspend or terminate access for any user who violates these Terms. Provisions that by their nature should survive termination — including sections on assumption of risk, disclaimers, limitation of liability, indemnification, and arbitration — will survive.
